I. General provisions

1. The use of merXu for the sale of Products or Services is possible within one of the four Plans. 

2. The chargeability of certain services or functionalities available on merXu depends on the choice of the Plan made by the User. 

3. The User is obliged to select the respective Plan by 31 December 2022, subject to cause III.3 of the Terms and Conditions.

4. There are four Plans within the merXu subscription model:

           a. Basic

           b. Standard

           c. Premium

           d. Enterprise.

5. The Basic Plan  enables the User to use the basic functionalities of the Platform. Basic does not include a subscription fee. 

6. If you would like access to additional tools to facilitate sales, such as increasing Offer limit, transport service pricing, technical support, among others, we recommend choosing Standard, Premium or Enterprise Plan at any time. 

7. The Plans differ in terms of the limits of free Offers, functionalities and the amount of the monthly fee the User is obliged to pay to merXu.

8. With the selection of the Plans, the User accepts the rules according to which they will sell their Products or Services on the Platform. 

9. Basic, Standard, Premium and Enterprise Plans are subscribed in monthly subscription periods, subject to the first subscription period, which may be an incomplete monthly period in a specific case. 

10. A monthly period is understood to be 1 calendar month.

11. The subscription period starts on the first day of acceptance of the first Plan within merXu. 

12. Changes to the Plans may take place during the relevant subscription period, subject to the following provisions:

          a.    a change to a higher Plan is made automatically when the User selects and accepts the change to the Plan,

          b.    a change to a lower Plan will only be made at the end of the ongoing monthly subscription period (i.e. when the subscription to the respective Plan is renewed). 

13. In the case referred to in clause 12 (b) above, the User has the option to change their decision to change to a lower Plan during the subscription period until the last day of the subscription period.

II. Plan details - Fees, discounts and promotions

 

1. The subscription fee quoted for a particular Plan is a monthly fee. 

2. All prices shown next to the Plans are net prices, unless specified otherwise. 

3. The subscription fee is charged in arrears for each monthly period within the selected Plan. 

4. If an Account is registered on the Platform and a Plan is selected during the calendar month, the fee for the first subscription period will be charged in accordance with the promotional price list current at the date of selection of the Plan. 

5. The promotional subscription fee for the first full calendar month and for an incomplete period if an Account is registered during the calendar month for the Standard, Premium, Enterprise Plans is PLN 7 for each of the indicated periods.

6. The rule described in clause 4 above does not apply to the rights and benefits granted to Users under Plans, i.e. the limits under a Plan are granted in full.

7. In the event of a change to a higher Plan, the change will be effective automatically and the charge will be pro-rated according to the time of use of the respective Plan.

8. MerXu reserves the right, at its own discretion and as part of current promotional campaigns, to grant individual discounts and rebates on the prices presented within the individual Plans.

9. Where individual discounts granted within the Plans have an associated expiry date, any change to the amount of the discount will be communicated at least 21 days prior to its expiry. 

10. Any change in the amount of the discount does not affect Transactions in progress where the payment process has been initiated and the rights already granted to Users. 

11. The promotional period lasts for one calendar month.

12. The promotional periods indicated for the individual Plans have a start date (i.e. understood as the date of selection of the first Plan). If a Plan is changed during the promotional period for individual Plans, as a general rule, the promotional periods do not merge or transfer between Plans. 

13. If a Plan is changed to another Plan during the promotional period, the promotional period from the original Plan will expire. In a situation where for the newly selected Plan, the promotional period was shorter than in the original Plan (before the change of the Plan), the promotional period under the newly selected Plan will not apply.

14. In the event of a change of a Plan during the promotional period to another Plan with a longer promotional period than the lower Plan, the promotional period for the change of the Plan will be calculated from the date of selection of the first Plan.

15. Any changes to the prices assigned in the individual Plans will be communicated to the Users at least 21 days in advance, with the proviso that changes to the prices may not affect the rights already granted to the Users.

16. All current promotions, discounts, rebates are available to Users in the Plan view after logging on to the Platform.

17. In the event of suspension or deletion of an Account on the Platform, subscription fees are not refunded.

 

III. Plan details - Offers

 

1. Within the available Plans, the User has the opportunity to place a specific number of Offers on the Platform. The User shall pay an additional fee for each subsequent Offer above the limit indicated in a given Plan.

2. If you wish to sell Product or Service accessories, related services or products, you must prepare separate Offers for each Product or Service. If this is not the case, merXu reserves the right to revise and remove the Offer until doubts are clarified.

3. In the case of the Basic Plan, each Offer placed on the Platform involves a fee to be paid by the User. 

4. When posting an Offer on the Platform the User decides on its duration. 

5. The User within the Plans can integrate the Offers with the external BaseLinker system, with the exception of this functionality for the Basic Plan.

 

IV. Plan details -  Transport organisation assistance

 

1. merXu offers support for Users in transport organisation as part of the individual Plans.

2. Users can use the third-party transport quote calculators available on the Platform and conclude a contract of carriage directly with the carrier.

3. In the case of non-standard and hazardous shipments, the User within a given Plan may take advantage of a valuation of such shipment by carriers as well as assistance in arranging transport of the shipment by the carrier- subject to the limits provided for the Plan.

 

V. Plan details - Technical support

 

1. MerXu offers technical support for Users as part of the individual Plans. The Technical support service does not cover the Basic Plan.

2. Technical support consists of merXu assistance with, among other things:

            a. removing redundant HTML characters from descriptions,

            b. updating the prices of the Products or Services by the indicated percentage,

            c. category completion based on the category path indicated by the User,

            d. completing the required columns in the file and the attributes based on the Product ID when the        User supplies incomplete data,

            e. adapting the file (renaming columns) to the merXu format,

            f. changing the structure of the file, e.g. cleaning up empty columns and lines, colours, changing commas to full stops,

            g. combining several images from different columns,

            h. changes to the content: disabling mass edit Product or Service names, preparing price ranges in the file, adding promotional prices, VAT rates,

            i. creation of a merXu-compatible Excel file from the Seller's database (xlsx/csv).

3. The standard file formats on the Platform are: .csv, .xls, .xlsx and standard dynamic file formats: Ceneo, Heureka, Google Merchant, Árukereső, merxu_csv, merXu_xml, Iof, Nokaut, Verskis.  merXu can enable  integration with external integration systems.

4. Under Technical support, the files within the Plans cannot have more than 500 or 10,000 lines depending on the chosen Plan.

5. If customisation of non-standard User file formats is required, the support fee is agreed individually between merXu and the User.

6. If the limits provided under the Plan are exhausted, merXu will charge additional fees for Technical support services at the rate indicated in the respective Plan.

2. In addition, you can ask questions using the contact form or by letter to the address of the merXu registered office.

3. If you wish to unsubscribe from the Plan and use your Account exclusively as a Buyer, you must send such a request to contact@merxu.com. The deactivation of the Plan will take place as of the end of the current subscription period.
